A Shareholders Agreement is, as its name describes, an agreement made between the shareholders of a company. It helps to protect the shareholders investment in the company by providing clarity and certainty on the relationships between the differing shareholders and by setting out the procedures by which their shareholding is to be managed and controlled.
The agreement will also set out how disputes between shareholders are to be resolved; how a sale or part sale of the shares shall take place; what is to happen on the death, bankruptcy or incapacity of shareholders ; and how the company is to be run. This is not an exhaustive list, and most Shareholders Agreements will cover a multitude of other issues and pertinent concerns a company may have.
